1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of HarborEcho, including our website, companion chat and voice features, family dashboard, and any related services (together, the "Service"), operated by HarborEcho ("HarborEcho," "we," "us," or "our"). By creating an account, setting up an account on behalf of someone else, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. What HarborEcho Is - and Isn't

HarborEcho provides AI-powered companionship: conversational "friends," medication and routine reminders, memory and story-keeping (the Memory Vault and Legacy Book), light cognitive engagement activities, and optional family/caregiver visibility into general well-being trends.

HarborEcho is not:

• A medical device, diagnostic tool, or licensed healthcare service of any kind.
• A replacement for a physician, psychiatrist, therapist, counselor, or any other licensed professional.
• A 911 service, crisis hotline, or guaranteed emergency response system.
• A legal custodian of your affairs - storing information in the Memory Vault does not give HarborEcho, or grant anyone, the legal authority of an Executor, Power of Attorney, or similar role.

Conversations with your AI companions are generated by artificial intelligence and may occasionally be inaccurate, out of date, or simply wrong. Always use independent judgment, and confirm anything important - especially anything related to health, medication, money, or legal matters - with a qualified professional or trusted person.

3. No Medical, Psychiatric, Legal, or Financial Advice

Nothing said, written, or suggested by an AI companion, and nothing shown on the Family Dashboard, constitutes medical, psychiatric, psychological, legal, or financial advice, diagnosis, or treatment. HarborEcho does not prescribe, adjust, or recommend changes to any medication or treatment plan. Medication reminders are convenience features only, based on information you or your caregiver entered - HarborEcho does not verify dosages, interactions, or medical appropriateness.

HarborEcho is not intended to diagnose, treat, cure, or prevent any disease or medical or mental health condition. To the fullest extent permitted by law, HarborEcho, its owners, employees, and operators are not responsible or liable for any injury, harm, loss, damages, or adverse outcome of any kind - direct or indirect - arising from or related to your use of, or reliance on, the Service, including its companion conversations, medication reminders, health or mood observations, or crisis-related features.

4. Accounts, Eligibility, and Setting Up an Account for Someone Else

The Service is intended for adults. Many HarborEcho accounts are created and maintained by a family member or caregiver on behalf of the person who will actually use the companion features (the "Primary User"). If you set up or manage an account for someone else, you represent that:

• You have the authority - as a family member, caregiver, legal guardian, or holder of a valid Power of Attorney - to act on the Primary User's behalf; and
• You accept these Terms and our Privacy Policy on the Primary User's behalf, and you are responsible for making sure the Primary User understands, in plain terms, how the Service works, including the safety-monitoring disclosures described in Section 8.

You are responsible for keeping your login credentials secure and for all activity on your account.

5. Subscriptions & Billing

HarborEcho offers paid subscription tiers (currently The Historian, The Guardian, and The Admiral), billed monthly or annually through our payment processor, Stripe. New subscriptions may include a free trial period; unless you cancel before the trial ends, your card will be charged automatically when the trial ends and your subscription will continue to renew each billing period until cancelled.

• You can view or change your plan, update payment information, or cancel at any time from your Account Settings, which opens Stripe's secure billing portal.
• Cancelling stops future renewals; it does not refund the current billing period unless required by law.
• We may change subscription prices from time to time. If a price change affects your plan, we will give you reasonable notice before it takes effect.

6. Your Content & the Memory Vault

You (or the Primary User) retain ownership of the life stories, memories, photos, and other personal content shared through the Service, including anything stored in the Memory Vault or compiled into a Legacy Book. By using the Service, you grant HarborEcho a license to store, process, and display that content back to you and to authorized family members solely to provide and improve the Service - for example, generating a Legacy Book, or referencing a past story in conversation. We do not sell your personal content.

7. Acceptable Use

Please use HarborEcho respectfully and lawfully. Don't use the Service to harass or harm others, attempt to gain unauthorized access to accounts or systems, upload unlawful content, or use the companion chat to seek instructions for causing harm to yourself or others - HarborEcho is not designed or equipped to safely handle that, and doing so may trigger the crisis-response features described below.

8. Safety Monitoring & the Family Dashboard

As explained during setup, HarborEcho's conversational features include automated observation of conversations for general well-being trends and for signs of possible crisis (for example, language suggesting thoughts of self-harm). When this happens, a companion may respond with support, share crisis resources such as the 988 Lifeline, and/or notify a designated emergency contact.

This monitoring is automated, best-effort, and not guaranteed to catch every instance of risk, nor to notify anyone instantly or at all. It is a supplementary safety feature, not a substitute for regular human contact, professional care, or a monitored emergency system.

Family members with access to the Family Dashboard see general trends, mood summaries, and alerts - never a transcript of private conversations. See our Privacy Policy for details.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated content will be accurate or appropriate for your situation.

10. Limitation of Liability

To the fullest extent permitted by law, HarborEcho and its owners, employees, and operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, health, or life, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless HarborEcho and its owners and operators from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your setting up or managing an account on behalf of someone else without proper authority to do so.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, misuse the Service, or fail to pay applicable fees.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify you (such as an in-app notice or email) before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.
